Renewal is due on the first day of the LLC's formation anniversary month, regardless of state.
If it isn't paid, the agent resigns the role and notifies the state. An LLC cannot legally exist without this role, since the registered agent provides the registered address.
Tax Return filing with the IRS
March 15th for multi-member LLCs; April 15th for single-member LLCs.
The IRS can impose penalties for late filing and initiate collection proceedings, including notices, bank account levies or liens on assets.

Important notes
- The Franchise Fee, where it exists, is paid separately from the annual renewal.
- In states where the annual report is due on a date other than the anniversary month (e.g. Florida), two invoices are issued per year: one for the annual report and another for the registered agent and registered address renewal.

A late fee of $400 USD is charged.
The LLC is administratively dissolved or revoked by the Secretary of State at the close of business on the fourth Friday of September (Chapters 607, 617 and 620 of the Florida Statutes). Dissolved or revoked entities can be reinstated by filing the corresponding application and covering all applicable fees, including the reinstatement fee and any annual reports owed.
A $200 USD penalty plus 1.5% monthly interest on the tax and penalty.
If the entity remains active in the records of the Delaware Division of Corporations at any point between January 1st and December 31st of the corresponding fiscal year.
No. New Mexico does not require filing an Annual Report or paying an annual fee for LLCs.
A report of the assets the LLC holds in the state; it requires paying a fee proportional to the value of those assets.
If the report and fee are not filed within 60 days of the due date, the LLC may be administratively dissolved by the Wyoming Secretary of State. A dissolved entity can request reinstatement by covering the fees and requirements the state establishes.
